Terms of Services

These Terms of Service ("Terms") govern the provision of services by NODE DAWN GROUP LTD ("Node Dawn Group", "we", "us", or "our") to you ("Customer", "you", "your").

NODE DAWN GROUP LTD is a private limited company registered in England and Wales under company number 16449681. Registered office: 548 Becontree Avenue, Dagenham, England, RM8 3HR.

Cosmos Platform, Cosmos Business, CosmosMarket and Audio Force Radio are products of Node Dawn Group Ltd.

By subscribing to or using any Node Dawn Group Ltd service, you agree to these Terms.

1. Services provided

Node Dawn Group Ltd provides access to hosted software products on a subscription basis. Services may include depending on your package: website hosting, website builder access, e-commerce functionality, booking systems, customer management tools, payment integrations, email marketing tools, CosmosMarket business listing, Cosmos Business mobile app access, member management tools, show scheduling for radio stations, and maintenance and support. We reserve the right to improve, modify or discontinue features at our discretion.

2. Products

The following products are operated by Node Dawn Group Ltd: Cosmos Platform — business management SaaS platform at nodedawn.com. Cosmos Business — mobile application for business management available on iOS and Android. CosmosMarket — consumer marketplace application available on iOS and Android. Audio Force Radio — online radio platform.

3. Monthly billing and payments

All customers are billed monthly unless otherwise agreed in writing. By subscribing you authorise Node Dawn Group Ltd to collect recurring monthly payments using your chosen payment method. Payment is processed securely via Stripe. Payment is due on the same calendar day each month as your original subscription start date. If payment fails we will attempt to re-collect payment, access to services may be suspended after 7 days of non-payment, and accounts may be terminated after 14 days of non-payment.

4. Cancellations

You may cancel your subscription at any time. Cancellation must be submitted in writing and requires at least 7 days notice before your next billing date. No partial refunds are provided for unused time within a billing period. Upon cancellation platform access will terminate at the end of your paid period and your data may be permanently deleted 30 days after termination.

5. Acceptable use

Your use of all Node Dawn Group Ltd products is governed by our Acceptable Use Policy at nodedawn.com/acceptable-use. By agreeing to these Terms you also agree to the Acceptable Use Policy in full. We reserve the right to suspend accounts immediately where misuse is suspected.

6. Customer responsibilities

You are responsible for maintaining secure login credentials, ensuring your content and business activity complies with UK law, managing your own customer communications, and keeping your payment details up to date.

7. Data and GDPR

We process data in accordance with our Privacy Policy at nodedawn.com/privacy. Customers using Cosmos Platform to collect personal data are considered Data Controllers. Node Dawn Group Ltd acts as a Data Processor where applicable. You are responsible for ensuring your own compliance with UK GDPR and other applicable regulations.

8. Intellectual property

Node Dawn Group Ltd retains all intellectual property rights in the Cosmos Platform software, platform architecture, branding and system design. Customers retain ownership of their own content, branding and uploaded materials. You may not copy, resell, reverse engineer or redistribute any Node Dawn Group Ltd software without written permission.

9. Availability

We aim to provide high service availability but do not guarantee uninterrupted access. We are not liable for third-party outages, payment processor failures, hosting provider disruptions or force majeure events.

10. Limitation of liability

To the fullest extent permitted by UK law Node Dawn Group Ltd shall not be liable for indirect or consequential losses and total liability shall not exceed the amount paid by the customer in the preceding 3 months. Nothing in these Terms limits liability for fraud, death or personal injury caused by negligence, or any liability that cannot legally be excluded.

11. Termination by Node Dawn Group Ltd

We may suspend or terminate accounts if payments remain unpaid, Terms are breached, the Acceptable Use Policy is violated, illegal activity is suspected, or abuse of staff occurs.

12. Governing law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
